These Terms and Conditions govern your access to and use of the services provided by SOLIDUS AI TECH LTD (“Solidus AITECH”, “Solidus”, “AITECH”, "Company", "we", "us", or "our"), including but not limited to the AITECH Launchpad, AI Marketplace, AvaChat AI Agent ("AVACHAT"), AITECH Debit Card, AI Agent Forge, AI Agent TapHub, AITECH VPN, and Compute Marketplace (collectively, "Services"). By accessing or using any of these Services or the AI Tech Platform or platform, you agree to be bound by these Terms & Conditions and our supporting policies:

If you do not agree with these Terms, please do not use our Services.
You must be at least 18 years old and legally capable of entering into binding contracts. By using our Services, you represent and guarantee that you meet these eligibility requirements.
Some Services may require registration. You agree to:

Maintain the confidentiality of login credentials
Immediately notify us of any unauthorized use
We reserve the right to suspend or terminate accounts violating these Terms.
AITECH Launchpad: A platform for accessing public sales of AI-focused projects.
AI Marketplace: Access, license, or deploy third-party and proprietary AI tools.
AvaChat AI Agent (AVACHAT): Engage with an AI-powered conversational agent for general support and information.
AITECH VPN: A decentralized, blockchain-based VPN service offering enhanced privacy and unrestricted access.
AI Agent TapHub: A gamified AI and blockchain-based mini-game hosted on Telegram. It integrates interactive avatars and AI capabilities for play and monetization.
AITECH Debit Card: Offered in collaboration with Zebec Network, this crypto debit card enables users to spend supported cryptocurrencies.
Agent Forge: Deploy customizable AI agents across supported applications.
Compute Marketplace: Participate in decentralized buying and selling of compute power.
AI TECH Platform: Serves as a repository of publicly available AI tools and projects intended for research, experimentation, and development. The content is provided “as is” without warranties of any kind.
$AITECH token: Serves as token to utilize the AI TECH Platform.
All Services are governed by the Acceptable Use Policy <insert link> and applicable documentation.
The Services facilitate interactions with protocols to allow individuals to, inter alia, purchase, trade, rent and sell hosted GPU and other AI models on the AI Tech platform.
You may participate in the Services by linking your digital wallet(s) on third – parties supported bridge extensions, which allows you to purchase, store, and engage in transactions using cryptocurrency. Before interacting with the Services via the platform, we will ask you to download a supported electronic wallet extension and connect and unlock your digital wallets with that extension. Once you submit a request to sell or purchase any of the offered Services, your order is passed on to the applicable extension, which can complete the transaction on your behalf.
WE ARE NOT A BROKER, EXCHANGE, FINANCIAL INSTITUTION, OR CREDITOR. THE SERVICES ARE AN ADMINISTRATIVE PLATFORM ONLY. WE ARE NOT A PARTY TO ANY AGREEMENT BETWEEN THE PURCHASER AND SELLER OF THE SERVICES OR BETWEEN ANY USERS.
YOU BEAR FULL RESPONSIBILITY FOR VERIFYING THE IDENTITY, LEGITIMACY, AND AUTHENTICITY OF ASSETS YOU PURCHASE, RENT OR UTILIZE VIA THE SERVICES AND THE PLATFORM. NOTWITHSTANDING INDICATORS AND MESSAGES THAT SUGGEST VERIFICATION, WE MAKE NO CLAIMS ABOUT THE IDENTITY, LEGITIMACY, OR AUTHENTICITY OF ASSETS ON THE PLATFORM OR VIA THE SERVICES.
Transactions executed via the Services and the platform are conducted on the blockchain. While we offer a marketplace for the Services, we do not buy, sell or take custody or possession of any of the Services, nor does it act as an agent or custodian for any user of the Services. Instead, each Service that is listed for sale, rent or utilization is independently offered via the platform. Each such Service is released automatically upon consummation of its sale, rental or utilization agreement. You will be required to make or receive payments exclusively through the cryptocurrency wallet you have connected to the AI Tech Platform or via fiat. We will have no insight into or control over these payments or transactions, nor do we have the ability to reverse any transactions. Accordingly, we will have no liability to you or to any third party for any claims or damages that may arise as a result of any transactions that you engage in via the Service or AI Tech Platform.
Your participation in certain programs (e.g., promotions, sweepstakes, giveaways, on tests, rewards programs, debit cards etc.) made available through the AI Tech Platform will be subject to additional terms and conditions specific to such programs as set forth by us or the sponsor of each promotion or program.
You must not:
Use Services for illegal, unethical, or harmful activities or for any other types of activities that are not in line with the intended aim of the platform offering
Infringe upon intellectual property or data protection laws
Circumvent or disrupt our systems
Access or utilize the Site and/or Services for the purpose of web crawling, web harvesting, data mining, data extraction, scraping or aggregating information, including without limitation listings and smart contracts available on or through the Site and/or Services, or similar activities without our prior written consent at our sole discretion
Use any AI system hosted on this platform for: Surveillance or biometric identification without legal basis, Manipulative or deceptive practices (e.g., deepfakes, disinformation, etc.), Applications that violate human rights, safety standards, or national laws
All usage must comply with our Acceptable Use Policy <insert link>, Privacy Policy <insert link>, Cookie Notice <insert link>, and Unclaimed Tokens Policy <insert link>.
Certain Services may require payment or staking of digital assets. All applicable fees, terms, and conditions are clearly displayed prior to completing any transaction. Crypto-based payments are generally irreversible and may include network or gas fees.
For our AITECH Launchpad “Pad” IDO, we offer a straightforward refund process for users participating in project launches, subject to the following terms:
Refund Window: Each project may define its own refund window, typically within a 0–14 day period from the time of participation.
Eligibility: Users may confirm participation or request a refund within the specified window.
Project-Specific Terms: Full refund details, including procedures and timelines, will be outlined on each project’s page prior to launch.

Services like AVACHAT and Agent Forge include AI-generated outputs. By using them, you acknowledge: - Outputs may be inaccurate or non-human in origin - Disclaimers are provided in line with EU AI Act transparency guidelines - Human oversight is encouraged for critical decisions
We assume no liability for the use, misuse, or outcomes of any AI models hosted on the platform. Users and deployers assume all risks associated with such use.
9. Vesting Terms
Unclaimed tokens, including those allocated via Launchpad, staking, or promotions, may expire after the announced claim period. The Company reserves the right to reclaim, burn, or redistribute such tokens. Users are responsible for claiming tokens before deadlines.

All content, software, and tools provided by SOLIDUS AI TECH LIMITED are protected by intellectual property laws. You are granted a non-exclusive, non-transferable, revocable license for personal or internal business use only.
We do not guarantee uninterrupted availability. We may change, suspend, or discontinue features or amend these terms and conditions at any time. Material changes to these Terms will be communicated through our platform or via email where applicable. If you continue to use the Services after we have posted updated Terms, it means that you accept and agree to the changes. If you don’t agree to be bound by the changes, you may not use the Services anymore. Because the Services are evolving over time, we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.
WE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS AND TAKES NO RESPONSIBILITY FOR, AND WILL NOT BE LIABLE TO YOU FOR, ANY USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO ANY LOSSES, DAMAGES OR CLAIMS ARISING FROM: (I) USER ERROR SUCH AS FORGOTTEN PASSWORDS, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED WALLET ADDRESSES; (II) SERVER FAILURE OR DATA LOSS; (III) BLOCKCHAIN NETWORKS, CRYPTOCURRENCY WALLETS OR CORRUPT FILES; (IV) UNAUTHORIZED ACCESS TO SERVICES; OR (V) ANY THIRD PARTY ACTIVITIES, INCLUDING WITHOUT LIMITATION THE USE OF VIRUSES, PHISHING, BRUTEFORCING OR OTHER MEANS OF ATTACK.
YOU BEAR FULL RESPONSIBILITY FOR VERIFYING THE IDENTITY, LEGITIMACY, AND AUTHENTICITY OF ASSETS YOU PURCHASE RENT OR USE VIA THE SERVICES. NOTWITHSTANDING INDICATORS AND MESSAGES THAT SUGGEST VERIFICATION, SOLIDUS MAKES NO CLAIMS ABOUT THE IDENTITY, LEGITIMACY, OR AUTHENTICITY OF ASSETS ON THE SERVICES.
THE SERVICES MAY NOT BE AVAILABLE DUE TO ANY NUMBER OF FACTORS INCLUDING, BUT NOT LIMITED TO, PERIODIC SYSTEM MAINTENANCE BE IT SCHEDULED OR UNSCHEDULED, ACTS OF GOD, UNAUTHORIZED ACCESS, VIRUSES, DENIAL OF SERVICE OR OTHER ATTACKS, TECHNICAL FAILURE OF THE SERVICES AND/OR TELECOMMUNICATIONS INFRASTRUCTURE OR DISRUPTION, AND THEREFORE WE EXPRESSLY DISCLAIM ANY EXPRESS OR IMPLIED WARRANTY REGARDING THE USE AND/OR AVAILABILITY, ACCESSIBILITY, SECURITY OR PERFORMANCE OF THE SERVICES CAUSED BY SUCH FACTORS. WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES AGAINST THE POSSIBILITY OF DELETION, MISDELIVERY OR FAILURE TO STORE COMMUNICATIONS, PERSONALIZED SETTINGS OR OTHER DATA. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE DISCLAIMERS OF WARRANTIES MAY NOT APPLY TO YOU.
Artificial Intelligence (AI) Act, we inform you that:
• Some AI models or tools available on this platform may involve Limited or High-Risk applications, depending on how and where they are used.
• You are responsible for evaluating the intended use and compliance obligations of any AI system you access or deploy.
• No AI model hosted here should be used in prohibited or non-compliant applications, including those that may negatively impact individual rights, safety, or legal obligations without proper review.
We implement technical and organizational safeguards to protect your data. In the event of a breach, we follow our Data Breach Notification Policy <insert link> to notify affected parties as required by law.
We are not obligated to monitor access to or use of the Services or to review or edit any content. However, we have the right to do so for the purpose of operating the Services, to ensure compliance with these Terms and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any content, including user content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider it objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Services. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law, or the sale of stolen assets, assets taken without authorization, and otherwise illegally obtained assets on the Service is prohibited. If you have reason to believe that an asset listed on the Service was illegally obtained, please contact us immediately. Listing illegally obtained assets may result in your listings being canceled, your assets being hidden, or you being suspended from the Services.
We may suspend or terminate your access to the Services at any time in connection with any transaction as required by applicable laws, any government authority, or if we at our sole and reasonable discretion determine that you are violating these Terms or the terms of any third-party service provider. Such suspension or termination shall not constitute a breach of these Terms by us. In accordance with our anti-money laundering, anti-terrorism, anti-fraud, and other compliance policies and practices, we may impose reasonable limitations and controls on the ability of you or any beneficiary to utilize the Services.
These Terms & Conditions are governed by the laws of United Kingdom. Disputes will be resolved in the courts of that jurisdiction, unless otherwise mandated by law.
